What is The Covenant?
The Covenant is a dramatic multi-season TV series adaptation of the stories of the Old Testament. Directed by Cyrus Nowrasteh (The Young Messiah, The Stoning of Soraya M) and written by Andrew Klavan (The Daily Wire, Edgar Award Winner), The Covenant leads viewers through the stories of patriarchs and prophets, saints and sinners, conquerors and kings. Each episode will depict the lived experiences of characters including Daniel, Esther, Abraham, and Ruth. Below are commonly asked questions from investors who are backing The Covenant and investing in Cayo Films.
How much can I invest?
Investors other than accredited investors are limited in the amounts they are allowed to invest in all Regulation Crowdfunding offerings (on this site and elsewhere) over the course of a 12-month period: If either of an investor’s annual income or net worth is less than $107,000, then the investor’s investment limit $2,200, or 5 percent of the greater of the investor’s annual income or net worth, whichever is greater. If both an investor’s annual income and net worth are $107,000 or higher, then the investor’s limit is 10 percent of the greater of their annual income or net worth, or $107,000 whichever is greater. Accredited investors are not limited in the amount they can invest.
When will I get my investment back?
The companies listed on DirectCF are privately held companies, and their shares are not traded on a public stock exchange. As a result, the shares cannot be easily traded or sold. As an investor in a private company, you typically receive a return on your investment under the following two scenarios: The company gets acquired by another company. The company goes public (makes an initial public offering on the NASDAQ, NYSE, or another exchange). The Covenant and Cayo Films have no political affiliation with any party. Just as there is room for the entire human family and dozens of religions within the Bible, we believe there is room for all perspectives in The Covenant.

Andrew Klavan is an award-winning writer for drama and suspense. As a convert to Christanity, he also believes strongly in the Bible’s impact and importance, and believes that audiences deserve to have compelling depictions of Bible stories that are true to the text. We are excited to see his award-winning writing bring Daniel to life in the pilot of The Covenant.

What if I change my mind about investing?
You may cancel your investment at any time, for any reason until 48 hours prior to a closing occurring. If you have already funded your investment and your funds are in escrow, your funds will be promptly refunded to you upon cancellation. What happens if a company does not reach their funding goal?
If a company does not reach their minimum funding goal, all funds will be returned to the investors after the closing of their offering.
What information does DirectCF collect from issuers related to their offering?
The organization of the company Dalmore Group, LLC requires information that shows the issuer company has taken steps necessary to organize as a corporation or LLC in its state of organization, is in good standing, and that the securities being issued will be duly authorized and validly issued. The corporate structure and ownership Dalmore Group, LLC works with the issuer company to disclose its organizational structure, affiliated entities, and current capitalization. The people behind the company Dalmore Group, LLC helps the issuer company disclose who is behind the operations and strategy of the company, along with their previous related experience, and Bad Actor Reports to provide evidence that the company is not disqualified from proceeding with its offering. Can I sell my shares?
Shares sold via Regulation Crowdfunding offerings have a one-year lock up period before those shares can be sold freely.
Exceptions to limitations on selling shares during the one-year lock up are transfers:

- to a family member (defined as a child, stepchild, grandchild, parent, stepparent, grandparent, spouse or spousal equivalent, sibling, mother-in-law, father-in-law, son-in-law, daughter-in-law, brother-in-law, or sister-in-law, including adoptive relationships);
in connection with your death or divorce or other similar circumstance.
What do I need to know about early-stage investing? Are these investments risky?
Companies on DirectCF are high risk opportunities and may not retain their value. Investing in startups and small businesses is inherently risky and standard company risk factors such as execution and strategy risk are often magnified at the early stages of a company. In the event that a company goes out of business, your ownership interest could lose all value. Furthermore, private investments in startup companies are illiquid instruments that typically take up to five and seven years (if ever) before an exit via acquisition, IPO, etc.
Who can invest in a Regulation CF Offering?
Individuals over 18 years of age can invest. Currently however, Canadian citizens are not able to invest in Regulation CF offerings listed with DirectCF.
What are the tax implications of an equity crowdfunding investment?

How do I calculate my net worth?
Calculating net worth involves adding up all your assets and subtracting all your liabilities. The resulting sum is your net worth.
What types of securities can I buy on DirectCF?
The majority of offerings are common stock, though some companies may raise capital through convertible note, debt, and revenue shares.
Why invest in startups?
Crowdfunding allows investors to support startups and early-growth companies that they are passionate about. This is different from helping a company raise money on Kickstarter. With Regulation CF Offerings, you aren’t buying products or merchandise. You are buying a piece of a company and helping it grow.
How will God be represented?
The main character in each episode of The Covenant will be the person who lived the experiences, such as Daniel, Esther, Abraham, or Ruth. The stories of their experiences place God as a part of every episode without the need for direct depiction.
How is this different from other biblical movies or series?
Much of the current Old Testament content is either a historical documentary or a dramatization of Bible events. The depictions often aggrandize the characters or include political commentary, which detracts from the central messages of the scriptures. The Covenant stays true to the text by connecting viewers to the stories they know and love without losing the authenticity of the biblical and other historical texts.
I’m not religious. Why should I still support this project?
The stories of The Covenant are at the heart of our civilization. We believe they are central to the fabric that weaves us together as a society and that there is room for the entire human family in these stories regardless of an individual’s church, faith, or beliefs. Supporting The Covenant supports uplifting and inspiring messages that can strengthen viewers individually and unite viewers collectively around common values and beliefs.
For whom is The Covenant being made?
The series is not made for a specific faith or group. There are dozens of different religions with beliefs rooted in the Old Testament. Each person has their own interpretation of the same events, so by telling the stories truthfully to the text, The Covenant will honor the stories without making religious commentary for any particular faith.

How will the films become available for consumers: is there any infrastructure in place for streaming, will there just be digital downloads, or is there another avenue of consumption? This project will not be successful unless you direct your attention to prophetic people, those who see and discern. This is your audience. Discernment crosses all religious barriers. I would like to discuss this angle with you. I am just a regular person but i know a little bit about the spirit and would be a benefit to your team. You will have to touch people in that way to keep the audience you are seeking. Let me help you in the perspective of a lay person. At the point in time in which you are ready to pay me money is time enough for you to receive my social security number, until then i feel that is too much information. I would like to invest but there is too much information floating around out there and we are not yet acquainted. At this time i will only consider releasing the last four numbers of my s.s.#.
