What is The Covenant?

The Covenant is a dramatic multi-season TV series adaptation of the stories of the Old Testament. Directed by Cyrus Nowrasteh (The Young Messiah, The Stoning of Soraya M) and written by Andrew Klavan (The Daily Wire, Edgar Award Winner), The Covenant leads viewers through the stories of patriarchs and prophets, saints and sinners, conquerors and kings. Each episode will depict the lived experiences of characters including Daniel, Esther, Abraham, and Ruth. Through these honest depictions, The Covenant will show God’s connection to people in ancient times, and His connection to us today.

Why Should You Invest?

Cayo Films and The Covenant are backed by audiences and open to investors thanks to the Jumpstart Our Business Startups Act of 2012. This means that you can become a shareholder of Cayo Films and help bring the important stories of the Old Testament to life through The Covenant. Below are a few key reasons why our investors are backing The Covenant and investing in Cayo Films.

1. Impact a broken world with uplifting content.

The Old Testament contains 4,000 years of content. This series is a rare opportunity to create inspiring content for generations to come and has the potential to be a legacy project with exponential, lasting impact. You can become part of the legacy and support a mission to make scripture relatable to modern audiences

Impact a broken world with uplifting content

2. Prevent foundational stories from being misunderstood.

The stories of The Bible are misunderstood by Hollywood. Dramatic retellings of the text make the stories and characters un-relatable and sometimes unrecognizable. These are stories shared by the entire human family and should be preserved through honest, entertaining depictions of God’s relationship with his people.

3. Artistic, dramatic, and true to the Biblical and historical texts

The Covenant is guided by leading Old Testament biblical scholars like Dr. John Walton of Wheaton College. We will deliver honest depictions of characters as they appear in scripture and other historical texts. These are humans with real experiences whose stories will be told without sacrificing authenticity by the award-winning directors and writers working on the project.

4. A massive opportunity for change.

The Bible is central to the history of all of Western civilization. It's the common heritage of the entire Judeo-Christian world. Supporting The Covenant allows you to build something influential that brings people around the world back to these cherished stories, and back to God.

The Power of The Covenant

There are not many stories worth telling more than those of The Bible. These are stories that are foundational to our lives, communities, and civilization, but are at real risk of disappearing from our culture. We are dedicated to making the stories of the Old Testament into entertaining and uplifting media experiences worth watching.

We started Cayo Films to tell powerful stories—like the stories of The Covenant. These stories are often misunderstood and even in danger of being forgotten. We want to prevent that. Future generations deserve to have approachable, engaging content that exposes the human experience through the lens of God and His people. Cayo Films is our effort to unite those people into a community that can fund quality content starting with the greatest stories ever told in the Bible.

Frequently Asked Questions

How much can I invest?

Investors other than accredited investors are limited in the amounts they are allowed to invest in all Regulation Crowdfunding offerings (on this site and elsewhere) over the course of a 12-month period: If either of an investor’s annual income or net worth is less than $107,000, then the investor’s investment limit $2,200, or 5 percent of the greater of the investor’s annual income or net worth, whichever is greater. If both an investor’s annual income and net worth are $107,000 or higher, then the investor’s limit is 10 percent of the greater of their annual income or net worth, or $107,000 whichever is greater.  Accredited investors are not limited in the amount they can invest.

The companies listed on DirectCF are privately held companies, and their shares are not traded on a public stock exchange. As a result, the shares cannot be easily traded or sold. As an investor in a private company, you typically receive a return on your investment under the following two scenarios: The company gets acquired by another company. The company goes public (makes an initial public offering on the NASDAQ, NYSE, or another exchange). In those instances, you receive your pro-rata share of the distributions that occur, in the case of acquisition, or you can sell your shares on the exchange. It can take 5-7 years (or longer) to see a distribution or trading, as it takes years to build companies. In many cases, there will not be any return as a result of business failure. Dalmore Group, LLC does not make investment recommendations, and no communication, through this website or in any other medium should be construed as a recommendation for any security offered on or off this investment platform. Investments in private placements and start-up investments in particular are speculative and involve a high degree of risk, and those investors who cannot afford to lose their entire investment should not invest in start-ups. Companies seeking startup investments tend to be in earlier stages of development, and their business model, products and services may not yet be fully developed, operational or tested in the public marketplace. There is no guarantee that the stated valuation and other terms are accurate or in agreement with the market or industry valuations. Additionally, investors on Regulation CF offerings will receive securities that are subject to holding period requirements. The most sensible investment strategy for start-up investing may include a balanced portfolio of different start-ups. Start-ups should only be part of your overall investment portfolio. Investments in startups are highly illiquid and those investors who cannot hold an investment for the long term (at least 5-7 years) should not invest.

The Covenant and Cayo Films are completely separate from The Chosen. Our CEO is the former CFO of The Chosen and the Registered Agent for their season 1 fundraising. We applaud the work The Chosen has done and are excited to bring audiences the Old Testament stories they love.

You may be prompted to provide your SSN to complete an investment, which is required under U.S federal law. We collect this data to verify who you are and to make sure you are not on a list that would prevent the startup from doing business with you. We want everyone to be able to invest.

The Covenant and Cayo Films have no political affiliation with any party. Just as there is room for the entire human family and dozens of religions within the Bible, we believe there is room for all perspectives in The Covenant.

Andrew Klavan is an award-winning writer for drama and suspense. As a convert to Christanity, he also believes strongly in the Bible’s impact and importance, and believes that audiences deserve to have compelling depictions of Bible stories that are true to the text. We are excited to see his award-winning writing bring Daniel to life in the pilot of The Covenant.

The organization of the company Dalmore Group, LLC requires information that shows the issuer company has taken steps necessary to organize as a corporation or LLC in its state of organization, is in good standing, and that the securities being issued will be duly authorized and validly issued. The corporate structure and ownership Dalmore Group, LLC works with the issuer company to disclose its organizational structure, affiliated entities, and current capitalization. The people behind the company Dalmore Group, LLC helps the issuer company disclose who is behind the operations and strategy of the company, along with their previous related experience, and Bad Actor Reports to provide evidence that the company is not disqualified from proceeding with its offering.  Information provided to investors Dalmore Group, LLC checks that the issuer company is providing clear disclosure of its financial situation, business origins, and operations, and legal authority to engage in its business activities. Investor information and terms of the offering Dalmore Group, LLC reviews for consistency each instance where the issuer company describes the offering terms, and identifies to investors how the issuer company reached its current valuation and will track and keep in touch with its security holders. Review of transaction documents Dalmore Group, LLC performs an independent review of transaction documents to check for red flags & conformance with stated terms.  Business due diligence Dalmore Group, LLC conducts research and due diligence on each company before it is able to accept investments on the DirectCF platform.  Dalmore Group, LLC will typically conduct over 30-40 hours of due diligence per opportunity, which requires the satisfactory completion of a detailed set of individual questions and data requests.  Particular focus is paid to the following issues throughout the due diligence process:  Problem or inefficiency being addressed Product / service overview, stage of development and anticipated milestones Demonstrated traction (e.g. revenue, pre-sales, purchase orders, signed contracts, media coverage, awards, etc.) Data to support claims made in marketing materials (e.g. user / customer metrics, signed contracts and agreements, product demonstrations, etc.) Growth strategy Employees and advisors (including ownership structure) Addressable market (e.g. size, growth, penetration, etc.) Competitive landscape and industry dynamics Exit opportunities Intellectual property Historical financials Financial projections (including error-checking, evaluation of key assumptions and reconciliation to stated growth plan) Reference checks (e.g. previous investors, advisors, etc.) Investment overview (including determination of key terms, uses of funds, and current and previous investors) The findings of the foregoing review are presented to Dalmore Group, LLC, which may approve, reject, or require additional information for the offering. Upon approval and following the onboarding process, an offering can begin accepting investments online. General considerations Notwithstanding the foregoing, these investments are illiquid, risky and speculative and you may lose your entire investment.  The foregoing summarizes our standard process. However, each diligence review is tailored to the nature of the company, so the aforementioned process is not the same for every issuer. Completing the vetting process does NOT guarantee that the company has no outstanding issues or that problems will not arise in the future.  While the foregoing process is designed to identify material issues, there is no guarantee that there will not be errors, omissions, or oversights in the due diligence process or in the work of third-party vendors utilized by Dalmore Group, LLC and DirectCF. Each investor must conduct their own independent review of documentation and perform their own independent due diligence and should ask for any further information required to make an investment decision.

Shares sold via Regulation Crowdfunding offerings have a one-year lock up period before those shares can be sold freely.

Exceptions to limitations on selling shares during the one-year lock up are transfers:

  • to the company that issued the securities;
  • to an accredited investor;
  • to a family member (defined as a child, stepchild, grandchild, parent, stepparent, grandparent, spouse or spousal equivalent, sibling, mother-in-law, father-in-law, son-in-law, daughter-in-law, brother-in-law, or sister-in-law, including adoptive relationships);

in connection with your death or divorce or other similar circumstance.

Companies on DirectCF are high risk opportunities and may not retain their value. Investing in startups and small businesses is inherently risky and standard company risk factors such as execution and strategy risk are often magnified at the early stages of a company. In the event that a company goes out of business, your ownership interest could lose all value. Furthermore, private investments in startup companies are illiquid instruments that typically take up to five and seven years (if ever) before an exit via acquisition, IPO, etc.

Individuals over 18 years of age can invest.  Currently however, Canadian citizens are not able to invest in Regulation CF offerings listed with DirectCF.

We cannot give tax advice, and we encourage you to talk with your accountant or tax advisor before making an investment.

Calculating net worth involves adding up all your assets and subtracting all your liabilities. The resulting sum is your net worth.

The majority of offerings are common stock, though some companies may raise capital through convertible note, debt, and revenue shares.

Crowdfunding allows investors to support startups and early-growth companies that they are passionate about. This is different from helping a company raise money on Kickstarter. With Regulation CF Offerings, you aren’t buying products or merchandise. You are buying a piece of a company and helping it grow.

The main character in each episode of The Covenant will be the person who lived the experiences, such as Daniel, Esther, Abraham, or Ruth. The stories of their experiences place God as a part of every episode without the need for direct depiction.

Much of the current Old Testament content is either a historical documentary or a dramatization of Bible events. The depictions often aggrandize the characters or include political commentary, which detracts from the central messages of the scriptures. The Covenant stays true to the text by connecting viewers to the stories they know and love without losing the authenticity of the biblical and other historical texts.

The stories of The Covenant are at the heart of our civilization. We believe they are central to the fabric that weaves us together as a society and that there is room for the entire human family in these stories regardless of an individual’s church, faith, or beliefs. Supporting The Covenant supports uplifting and inspiring messages that can strengthen viewers individually and unite viewers collectively around common values and beliefs.

The series is not made for a specific faith or group. There are dozens of different religions with beliefs rooted in the Old Testament. Each person has their own interpretation of the same events, so by telling the stories truthfully to the text, The Covenant will honor the stories without making religious commentary for any particular faith.

You're not getting my social security number. I would like to invest in your production company, but there's no way I'm giving you my social security number for a process that should be as easy as a credit card or paypal transaction. So, if you ever do decide to remove the outlandish requirement of social security numbers, please let me know, and I'll happily send some money.

Having a minimum donation of 100.00 is really going to keep low income people like me from being able to donate. So many of us have donated to The Chosen. We were able to give smaller amounts, so when we can we send more. You should really rethink that. When and if you do then I would love to donate. Thank you, Diane Shea

Hi. How can I apply for an internship w/ Cayo Films? I possess 15 years of professional experience in film and television production. I earned an MFA from the USC School of Cinematic Arts. I have been working in Post Production for episodic television since 2015, so I have a lot of knowledge in that area, but I really want to write and produce features. If I am able to keep a paying job while I intern, I would be more than happy to offer my hard work and professional experience to Cayo in return for a chance to forge a more creative professional path. I am an avid listener of The Daily Wire, and familiar w/ Andrew Klavan's work. I am a practicing Jew, who loves studying The Old Testament (I attend a weekly Torah study zoom with my dear old mother; I'm in CA, she's in NJ). Please let me know where I might be able to send a resume. Thanks, Jake

I like the idea of this project. I'm a big fan of in Andrew Klavan and follow him on the Daily Wire. However, I have a serious issue with entering my Social Security number in order to invest; too easy for it to get out 'there' and into the wrong hands. I'm only looking to initially invest the minimum ($100).

Hello, I am considering making an investment in Cayo but I have a few questions about the project before I jump in. How will the films become available for consumers: is there any infrastructure in place for streaming, will there just be digital downloads, or is there another avenue of consumption? I am also interested in the plans for advertisements for Cayo as well as what denomination (if any) the ideas and lessons of the stories will represent or align with. Lastly, since Mr. Klavan is a Daily Wire host, to what extent is the relationship between DW and Cayo and will Cayo potentially utilize DW to spread the word? I am sure not all of this information has been fleshed out but I would like an idea of how the team envisions the future of the company to look. Thank you!

When did the 45 days start? I don't see anything about that as it states that if you give a minimum of 1,000 you are given shares. When did that start and when does it end? Shalom, Caron

Interested but in the midst of losing job. Once I have the details, I will know how much we can invest.

This is a great idea for a film. I am reviewing how I might be able to support this project.

What kind of time are you shooting for , in terms of releasing content, and what platforms will be used for viewers to gain access?

This project will not be successful unless you direct your attention to prophetic people, those who see and discern. This is your audience. Discernment crosses all religious barriers. I would like to discuss this angle with you. I am just a regular person but i know a little bit about the spirit and would be a benefit to your team. You will have to touch people in that way to keep the audience you are seeking. Let me help you in the perspective of a lay person. At the point in time in which you are ready to pay me money is time enough for you to receive my social security number, until then i feel that is too much information. I would like to invest but there is too much information floating around out there and we are not yet acquainted. At this time i will only consider releasing the last four numbers of my s.s.#.

I'm interested in purchasing shares, but wanted to know if there are any dividends. I can't really afford to invest in a purely ideological/moral project, but I'd love to invest in a company that puts out good work as well as paying a modest dividend. Will Cayo be capable of providing a dividend in the future when the content is released?

I like your idea. What is the deadline to invest? I would like to participate but some things have to happen on my end before I can buy in and if I had a better picture of timing it would help me make various decisions. Thanks, Mike

Hi there, I am a big fan of this project. I am a Canadian citizen living in Langley BC. Is this project open to funding from Canadians? If so, will there be receipts or records to confirm my investment in the company?

I am disappointed in the characters depicted. The old testament characters are people of color. Where are they in The Covenant?

Will you be applying the Hebrew names of the Creator YHVH Elohim thru-out the Old Testament(with subtitles for the Westernized versions)? Beginning to End of the OT Bible? The Chosen tv series only used it once for His Beloved Son.

Hello! This series look gorgeous, and I can't wait to see what it's like! It's possible you may have heard of The Chosen, a series about Jesus and His disciples that came to life in a similar way as your show. It's growing quite steadily, so I have hopes yours might, too. I did some key art (Photo-illustration) for The Chosen , and I would love to offer you the same unique support if the need ever arises. Some samples of that work can be found at www.ladylacecreative.com/thechosen. Looking forward to seeing what you guys come up with! Thanks, Laci Gibbs

I’m curious as to how you’ll be doing your casting. I’ve always been interested in acting and given the choice, I’d like to act in something with a bit of moral backbone, and besides that, Klavan is amazing.
